

Villar Land Holdings Corporation said it has not yet received an official copy of the complaint reportedly filed by the Securities and Exchange Commission (SEC) before the Department of Justice (DOJ), limiting its knowledge to media reports.
In a statement dated February 3, 2026, former senator and Villar Group Chairman Manny Villar said the DOJ is expected to evaluate the complaint to determine whether a preliminary investigation is warranted.
Villar emphasized that the company has consistently upheld high standards of corporate governance and welcomed the SEC’s earlier fact-finding investigation. He said Villar Land remains committed to transparency and compliance with rules enforced by both the SEC and the Philippine Stock Exchange, noting that the firm regularly discloses material developments and coordinates with regulators regarding its financial status.
The company strongly denied any involvement in illegal activities meant to defraud investors or benefit company officials. Villar cited his decades-long business track record, saying he has never engaged in practices designed to deceive customers, investors, or the public.
Villar Land also assured the public that it is prepared to answer the allegations in the proper legal forum and to fully cooperate with what it described as an impartial investigation that upholds due process and seeks the truth. Villar expressed confidence that the allegations would be disproven and that the company, along with his family, would be cleared of what he called baseless charges.
